Introduction and Acceptance of Terms
Welcome to No Mercy Security Force (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of our security services and constitute a legally binding agreement between No Mercy Security Force and the client (“Client,” “you,” or “your”).
By engaging our services, submitting a service request, signing a service agreement, or making payment for security services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. If you do not agree with any provision of these Terms, you must not engage our services.
These Terms apply to all services provided by No Mercy Security Force, including but not limited to: event security, residential security, fire watch security, construction site security, commercial security, unarmed security guard services, hotel security, special police officer deployment, and personal bodyguard services.
Service Agreements and Scope
Service Contracts
All security services provided by No Mercy Security Force are governed by a written service agreement that outlines the specific terms, scope, duration, pricing, and responsibilities of both parties. Service agreements must be signed by authorized representatives of both the Company and the Client before services commence.
Scope of Services
The Company will provide security services as specifically outlined in the executed service agreement. Our services may include, but are not limited to: personnel deployment, patrol services, access control, surveillance monitoring, threat assessment, emergency response, crowd management, and incident reporting. Any services not explicitly included in the service agreement are not covered unless mutually agreed upon in writing.
Modifications to Services
Any changes, additions, or modifications to the agreed-upon services must be requested in writing and approved by both parties. Additional services may result in adjusted pricing and will be documented through a written amendment to the original service agreement.
Service Limitations
While No Mercy Security Force employs highly trained professionals and implements industry best practices, we cannot guarantee the prevention of all criminal activity, accidents, or incidents. Our personnel will exercise reasonable care and professional judgment in performing their duties, but the Company is not responsible for events beyond the reasonable control or prevention capabilities of security personnel.
Client Responsibilities and Obligations
Accurate Information
Clients must provide accurate, complete, and truthful information regarding the property, event, or situation requiring security services. This includes but is not limited to: property layouts, known threats or concerns, access requirements, emergency procedures, and contact information for relevant parties.
Site Access and Cooperation
Clients must provide security personnel with appropriate access to all areas requiring protection and monitoring. Clients agree to cooperate fully with security personnel in the performance of their duties and to ensure that employees, guests, or other parties on the premises also cooperate with security directives.
Safe Working Conditions
Clients are responsible for ensuring that the work environment is reasonably safe for security personnel and does not expose them to unnecessary or undisclosed hazards. Clients must inform the Company of any known dangerous conditions, hostile individuals, or special circumstances that may affect personnel safety.
Legal Compliance
Clients warrant that all activities taking place on their property or at their events comply with applicable federal, state, and local laws and regulations. The Company reserves the right to withdraw services if client activities are found to be illegal or in violation of our ethical standards.
Pricing, Payment Terms, and Billing
Service Fees
Pricing for security services is specified in the executed service agreement and may vary based on factors including: type of service, number of personnel required, duration of assignment, level of training or certification required, armed versus unarmed personnel, and any special equipment or resources needed.
Payment Schedule
Unless otherwise specified in the service agreement, payment terms are as follows: a deposit may be required prior to service commencement, with the balance due according to the schedule outlined in the agreement. Standard payment terms are net 30 days from the invoice date for established commercial clients.
Late Payments
Invoices not paid within the specified timeframe will be subject to late fees of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is less. The Company reserves the right to suspend or terminate services for accounts with outstanding balances beyond 30 days.
Additional Charges
Clients will be responsible for additional charges, including but not limited to: services beyond the original scope, emergency deployment fees, specialized equipment rental, overtime charges when personnel work beyond scheduled hours at the client’s request, travel expenses for assignments outside our standard service area, and any expenses incurred due to client-caused delays or cancellations.
Disputed Charges
Any billing disputes must be submitted in writing within 30 days of the invoice date. Undisputed portions of invoices remain due and payable according to the original payment terms.
Scheduling, Cancellations, and Changes
Scheduling Requirements
Clients should request security services with as much advance notice as possible. While we strive to accommodate urgent requests, availability is subject to personnel scheduling and may incur rush fees for deployments required within 24 hours.
Cancellation Policy
Cancellations made less than 48 hours before the scheduled service date may be subject to cancellation fees of up to 50% of the contracted amount. Cancellations made less than 24 hours before scheduled service or no-show situations will be charged 100% of the contracted amount.
Weather and Force Majeure
In cases of severe weather, natural disasters, or other force majeure events that make service delivery unsafe or impossible, the Company will work with clients to reschedule services without penalty. However, if clients choose to proceed with outdoor events during severe weather against our safety recommendations, additional liability considerations apply.
Schedule Modifications
Changes to scheduled services, including timing, location, or personnel assignments, should be requested at least 24 hours in advance when possible. Last-minute changes may be accommodated when feasible, but could affect service quality or incur additional fees.
Liability and Insurance
Company Insurance
No Mercy Security Force maintains comprehensive general liability insurance and professional liability insurance as required by law and industry standards. Upon request, we will provide certificates of insurance to clients.
Limitation of Liability
To the maximum extent permitted by law, the Company’s total liability for any claims arising from or related to security services shall not exceed the total amount paid by the client for the specific service period during which the claim arose. This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.
Exclusions from Liability
The Company shall not be liable for: losses or damages that occur despite the reasonable efforts of security personnel; criminal acts by third parties that could not be reasonably prevented; damages resulting from client failure to follow security recommendations; losses caused by client employees, contractors, or guests; claims arising from client-provided equipment or facilities; or incidents resulting from inaccurate or incomplete information provided by the client.
Indemnification
Client agrees to indemnify, defend, and hold harmless No Mercy Security Force, its officers, employees, agents, and personnel from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: client breach of these Terms; false or misleading information provided by client; illegal activities on client premises; client interference with security personnel duties; or third-party claims related to client operations unrelated to security services.
Third-Party Claims
Clients acknowledge that security services do not eliminate all risks and agree that the Company shall not be held responsible for acts of third parties, including but not limited to criminal behavior, that occur despite reasonable security measures being in place.
Personnel Conduct and Standards
Professional Standards
All No Mercy Security Force personnel are expected to maintain the highest standards of professionalism, including appropriate appearance, courteous behavior, and adherence to all applicable laws and regulations. Personnel will perform duties in accordance with their training and company policies.
Authority and Limitations
Security personnel have the authority to enforce client-established rules and regulations on the premises and to take reasonable action to protect life and property. However, personnel are not law enforcement officers (except where specifically designated as Special Police Officers with such authority) and will contact appropriate authorities for situations requiring police intervention.
Personnel Conduct Issues
If a client has concerns about the conduct or performance of any security personnel, they should immediately contact No Mercy Security Force management. We will investigate all complaints promptly and take appropriate corrective action, which may include personnel reassignment or disciplinary measures.
Client Interaction with Personnel
Clients and their representatives agree to treat security personnel with respect and professionalism. Any abuse, harassment, or threats directed at our personnel will result in immediate service termination without refund, and the Company reserves the right to pursue legal remedies for such conduct.
Confidentiality and Privacy
Confidential Information
Both parties agree to maintain the confidentiality of sensitive information exchanged during the course of the business relationship, including security assessments, vulnerabilities identified, client business information, and proprietary security methodologies.
Incident Reports
Security incident reports prepared by our personnel are confidential documents provided to clients for their records. Clients agree not to publicly disclose such reports without prior written consent from No Mercy Security Force, except as required by law or legal proceedings.
Surveillance and Monitoring
Where security services include surveillance, monitoring, or recording capabilities, clients are responsible for ensuring compliance with all applicable privacy laws and for providing appropriate notice to individuals who may be recorded.
Termination of Services
Termination by Client
Clients may terminate ongoing security contracts by providing written notice according to the terms specified in the service agreement, typically 30 days for long-term contracts. Early termination may be subject to fees as outlined in the service agreement.
Termination by Company
No Mercy Security Force reserves the right to terminate services immediately upon written notice if: client fails to make timely payments; client breaches material terms of the agreement; client engages in illegal activities; the working environment becomes unreasonably dangerous for personnel; or client behavior toward personnel is abusive or threatening.
Effects of Termination
Upon termination, all outstanding invoices become immediately due and payable. The Company will return any client property in its possession, and clients agree to return any Company property, including identification badges, keys, or equipment provided to client representatives.
General Provisions
Entire Agreement
These Terms and Conditions, together with any executed service agreement, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements regarding the subject matter.
Amendments
The Company reserves the right to update these Terms and Conditions at any time. Material changes will be communicated to active clients. Continued use of services after notification of changes constitutes acceptance of the modified Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Maryland, and both parties consent to the jurisdiction of such courts.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative.
Assignment
Clients may not assign or transfer their rights or obligations under these Terms without prior written consent from No Mercy Security Force. The Company may assign these Terms in connection with a merger, acquisition, or sale of business.
Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of war, terrorism, labor disputes, or government actions.
Notices
All notices required under these Terms shall be in writing and delivered via email, certified mail, or hand delivery to the addresses specified in the service agreement.
